The TAQUA.COM Internet site is for the telecommunications switching industry. Access and use of TAQUA.COM are subject to the terms and conditions set forth herein ("Terms of Use") and all applicable laws.
Taqua offers an invitation to the Internet user community to browse and peruse TAQUA.COM for the purpose of information, education and communication to Taqua. This offer is expressly conditioned upon your acceptance of these Terms. If you do not accept and agree to be bound by the Terms, do not access or use TAQUA.COM. This offer and your acceptance represents the entire agreement between you and Taqua and supersedes any and all other communications, prior, contemporaneous or subsequent, and any course of performance or course of dealing, except as modified by a written agreement signed by an authorized officer of Taqua, or by Taqua revising this posting (provided, however, that any such revised posting shall take effect prospectively from the date of such posting). The Terms and the relationship between you and Taqua shall be governed by and interpreted in accordance with the laws of The Commonwealth of Massachusetts, United States of America, jurisdiction of the state and federal courts located in Boston, Massachusetts, U.S.A. for any legal action arising out of or relating to these Terms and/or your access and use of TAQUA.COM.
Taqua may revise these Terms from time to time by updating this posting and without notice to you. These Terms were last updated on Friday, July 12, 2002 at 12:00 AM. You are responsible for reviewing these Terms for revisions. By accessing and using TAQUA.COM after any revision to these Terms, you accept and agree to be bound by, without limitation or qualification, the revised Terms. If you do not accept and agree to be bound by the revised Terms, do not access or use TAQUA.COM.
Taqua will use reasonable efforts to include accurate and up to date content on TAQUA.COM, but Taqua makes no warranties or representations as to its accuracy. TAQUA.COM AND ITS CONTENT ARE PROVIDED "AS IS", WITH NO WARRANTIES WHATSOEVER. ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS, ARE EXPRESSLY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW. All users agree that all access to and use of TAQUA.COM and the content thereof is at your own risk. Neither Taqua nor any other party involved in creating, producing or delivering TAQUA.COM and/or its content shall be liable for any direct, indirect, incidental, consequential, special, exemplary or punitive damages arising out of your access, use or inability to use TAQUA.COM and/or its content, or any errors or omissions in the content thereof.
TAQUA.COM may include links to other Internet sites which are operated by third parties ("Linked Sites") and which are not under the control and not maintained by TAQUA.COM. Taqua provides these links to you only as a convenience, and as such, is not responsible for the content of such Linked Sites. The inclusion of any link to these sites does not imply an endorsement by Taqua. Taqua reserves the right to terminate any link or linking program at any time.
Any communication or material you transmit to Taqua via TAQUA.COM or Internet electronic mail is on a non-confidential basis only with no promise by Taqua not to use such communication or material for any purpose whatsoever, including but not limited to, reproduction, publication, broadcast, and posting, or other public or commercial use.

Notices of copyright infringement should contain the following information:
1. A physical or electronic signature of a person authorized to act on behalf of the copyright owner that is allegedly infringed.
2. Identification of the copyrighted work claimed to have been infringed.
3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity.
4. The address, telephone number, or email address of the complaining party.
5. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
6. A statement, under penalty of perjury, that the information in the notification is accurate, and that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
In compliance with the Digital Millennium Copyright Act, upon notice of copyright infringement, Taqua will act expeditiously to remove or disable access to any material claimed to be a copyright infringement. When Taqua removes or disables access to any material claimed to be a copyright infringement, Taqua may attempt to contact the user who has posted such material in order to give that user an opportunity to respond to the notification, although Taqua makes no promise to do so. Any and all counter notifications submitted by the user will be furnished to the complaining party. Taqua will give the complaining party an opportunity to seek judicial relief in accordance with the Digital Millennium Copyright Act before Taqua replaces or restores access to any material as a result of any counter notification.
When using any communication means provided by TAQUA.COM, you agree not to post or transmit: any unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable or harmful information of any kind; any information or software that contains a virus, worm, Trojan horse or other harmful or disruptive component; or any materials in violation of another party's copyright or intellectual property rights. TAQUA.COM may only be used for lawful purposes and in a lawful manner. You agree to comply with all applicable laws, statutes and regulations in connection with accessing and using TAQUA.COM, including those in regard to ordering, listing, purchasing and selling items. You may not register under a false name.
You agree to indemnify, defend and hold harmless Taqua against any and all claims, damages, costs or other expenses that arise directly or indirectly out of or from your breach of this Agreement and/or your activities in connection with TAQUA.COM.
Fraudulent conduct may be reported to law enforcement, and TAQUA.COM will cooperate to ensure that violators are prosecuted to the fullest extent of the law.
You acknowledge that Taqua has no obligation to monitor TAQUA.COM. However, you acknowledge and agree that Taqua has the right to monitor any activity associated with TAQUA.COM, and to remove anything that violates these Terms or is otherwise objectionable. Taqua may investigate any complaint or reported violation of these Terms and take any action that it deems appropriate. Such action may include, but is not limited to, issuing warnings, suspension or termination of service and/or denying access to TAQUA.COM.
Taqua reserves the right to report any activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other third parties. In order to cooperate with governmental requests, to protect Taqua, or to ensure the integrity and operation of Taqua business, Taqua may access and disclose any information it considers necessary or appropriate, including, without limitation, user contact details, Internet Protocol addressing and traffic information, usage history and posted content.
If any provision of these Terms is held invalid or unenforceable in any respect, the remainder of these Terms shall be enforced to the full extent permitted by law.
You may not assign or transfer your rights and your obligations pursuant to these Terms.
These Terms shall bind and benefit your successors, heirs and legal representatives.
The failure of Taqua to enforce the strict performance of any provision of these Terms shall not be a waiver of its right to subsequently enforce such provision or any other provisions of these Terms.

The entire content (images and text) of TAQUA.COM is copyrighted and may not be distributed, downloaded, modified, reused, reposted or otherwise used except as provided herein without the express written permission of Taqua. Please be advised that the content of TAQUA.COM is either the property of, or used with permission by, Taqua. The use of such content except as expressly permitted by this agreement is prohibited. Any impermissible use or misuse of such content may be a violation of copyright law, trademark law, the law of slander and libel, the law of privacy and publicity, and communications regulations and statutes.
